Clause

How These Terms Apply

1.1 These terms apply to the services Hartz AI provides under an engagement confirmation (the Confirmation). The Confirmation, the proposal it refers to and these terms together form the agreement between Hartz AI and the client named in the Confirmation (the Client) for those services (the Agreement).

1.2 Where the Confirmation and these terms differ, the Confirmation applies. The Agreement replaces any earlier discussion about the same services.

1.3 The version of these terms that applies to an engagement is the version published on this page on the date the Confirmation is signed. A later version applies to that engagement only if both parties agree in writing.

Clause

The Services

2.1 Hartz AI shall provide the services described in the Confirmation (the Services) with reasonable care and skill. Dates given are estimates, and Hartz AI shall keep the Client informed of any change to them.

2.2 Hartz AI may engage specialists to provide the Services. Hartz AI remains responsible to the Client for the Services, whoever provides them.

Clause

The Client's Part

3.1 The Client shall give Hartz AI the information, access and co-operation reasonably needed for the Services, and shall make sure that the information it gives is accurate and complete. The Services are prepared from that information.

3.2 The Client decides what it puts in place and how, and is responsible for implementing it. The Services do not include legal advice. Where a matter needs legal advice, Hartz AI identifies it and refers it.

3.3 Where the Client's delay or omission prevents or delays the Services, Hartz AI is not responsible for the resulting delay, and any additional time is agreed under clause 5.

Clause

Fees and Payment

4.1 The fees and the times for payment are those set out in the Confirmation. Where the Confirmation is silent, invoices are payable within 14 days of the invoice date.

4.2 Fees are exclusive of VAT, which is added at the applicable rate.

4.3 A deposit is non-refundable once preparation for the Services has begun. If the Services stop before they are complete, for any reason, the Client pays for the Services provided up to that point.

4.4 If an invoice is not paid when due, Hartz AI may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998, and, having given seven days' written notice, may pause the Services until payment is made.

Clause

Changes and Further Work

5.1 Work outside the Confirmation is quoted in writing and agreed by the Client before it begins. Nothing is added to the fees without the Client's written agreement.

5.2 A change to the Agreement is effective only if agreed in writing by both parties.

Clause

Ownership and Intellectual Property

6.1 Documents and materials produced specifically for the Client under the Agreement (the Deliverables) belong to the Client once the fees are paid in full. Until then, the Client may use them for its own business. The Client may use, amend and share the Deliverables with its tenants, insurers, advisers and suppliers.

6.2 The methods, frameworks, templates, guides, systems, training materials, know-how and other materials that Hartz AI and its specialists, including Rivka Abecasis, bring to or develop in the Services (the Background Materials) remain the property of Hartz AI or of the specialist who created them, and are protected by copyright.

6.3 Hartz AI grants the Client a permanent, non-exclusive licence to use the Background Materials as they appear in the Deliverables, for the Client's own business. The Client shall not sell, license or supply the Background Materials to anyone else as a product or service.

Clause

Confidentiality and Data Protection

7.1 Confidential information is governed by the confidentiality agreement between the parties, or, where there is none, each party shall keep the other's confidential information confidential and use it only for the Agreement.

7.2 Personal data processed by Hartz AI for the Client is governed by the data processing agreement between the parties.

Clause

Liability

8.1 Hartz AI's total liability to the Client arising out of or in connection with the Agreement, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the fees paid by the Client under the Confirmation.

8.2 Hartz AI is not liable for any indirect or consequential loss, or for any loss of profit, revenue, business, contracts, goodwill or data.

8.3 The Client's agreement is with Hartz AI, and any claim arising out of or in connection with the Services is made against Hartz AI only, and not against any individual or specialist who carried out the Services.

8.4 Any claim must be notified to Hartz AI in writing within 12 months of the completion of the Services.

8.5 Nothing in the Agreement limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.

Clause

Events Beyond a Party's Control

9.1 Neither party is liable for delay or failure in performing its obligations caused by events beyond its reasonable control, including illness of a key person, failure of utilities or telecommunications, or action by a public authority. The affected party shall tell the other promptly and resume performance as soon as it reasonably can. This clause does not excuse late payment.

Clause

Status

10.1 Hartz AI and its specialists are independent contractors. Nothing in the Agreement creates a partnership, joint venture, agency or employment relationship.

Clause

General

11.1 Assignment. The Client may not assign or transfer the Agreement without Hartz AI's prior written consent.

11.2 Notices. Notices are given by email to the addresses in the Confirmation and are treated as received on the next working day after sending.

11.3 Severance. If any provision is found invalid or unenforceable, the rest of the Agreement continues in force.

11.4 No waiver. A delay in exercising a right is not a waiver of it.

11.5 Third parties. The individuals and specialists referred to in clauses 6.2 and 8.3 may rely on and enforce those clauses. Otherwise, no one who is not a party has any right under the Contracts (Rights of Third Parties) Act 1999 to enforce the Agreement.

11.6 Signature. The Confirmation may be signed electronically and in counterparts.

11.7 Law and jurisdiction. The Agreement and any dispute arising out of or in connection with it, including non-contractual disputes, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
